1. Scope of Services

Company agrees to provide the following business credit facilitation services:

  1. Review and analyze Client's personal and business credit profile to determine qualification tier and estimated funding range.
  2. Identify and sequence business credit card and banking product applications based on Client's credit profile and bureau pull data.
  3. Prepare application data and field guidance for each identified institution using Client's provided information.
  4. Assist Client in opening business checking and/or savings accounts at target institutions prior to credit card applications.
  5. Guide Client through the application process up to the final disclosure/submission screen. The Client personally reviews and submits each application. The Company does not type income, revenue, or financial figures on Client's behalf.
  6. Provide application sequencing strategy designed to minimize hard inquiry impact across credit bureaus.
  7. Track application results and provide guidance on follow-up steps including credit limit increases.

2. Services Explicitly Not Included

  1. Credit repair or dispute services (governed by a separate agreement if applicable).
  2. Legal, tax, financial, or investment advice.
  3. Guaranteed approval at any financial institution.
  4. Negotiation with lenders on Client's behalf after application submission.
  5. Any representation that would require licensure not held by the Company.

3. Client Responsibilities

  1. Provide accurate, complete, and truthful information including personal income, projected business revenue, business details, and identification documents.
  2. Personally enter all income, revenue, and financial figures on each credit application. Client is solely responsible for the accuracy of all submitted application data.
  3. Sign a per-application certification after each submission confirming the figures entered are true and correct.
  4. Maintain a qualifying credit profile throughout the engagement.
  5. Notify the Company immediately upon receiving any approval, denial, or card arrival.
  6. Respond promptly to requests for additional documentation from financial institutions.

4. Fee Structure

Success Fee: For each Qualifying Approval, Client agrees to pay Company a fee equal to ten percent (10%) of that approved card's credit limit.

Charge Cards: Because charge cards have no preset credit limit, the fee for each approved charge card is a fixed dollar amount determined by Unlimitxxd Solutions, discussed with the Client, and stated on the invoice for that card.

"Qualifying Approval" means an approval from a credit application prepared by the Company and submitted by the Client during the term of this Agreement, resulting in a new revolving credit account with a defined credit limit, or in a new charge card. The following are not Qualifying Approvals and carry no fee: credit limit increases on existing accounts; counteroffers, product changes, or secured cards; bank accounts.

Fee Calculation: The fee for each card is calculated on that card's approved credit limit at time of approval (or, for a charge card, is the fixed amount stated on its invoice), regardless of whether Client draws funds or activates the card.

Evidence of Approval: The issuer's written approval notice or first statement constitutes evidence of a Qualifying Approval.

5. Payment Terms

  1. Fee Earned: The success fee is earned on the date of each Qualifying Approval.
  2. Invoice Timing: The success fee is 10% of each approved card's credit limit, invoiced separately per approved card after that card's approval (for a charge card, the fixed fee described in Section 4). Each invoice identifies the bank and card it covers and, for a card with a credit limit, the approved limit.
  3. Due Date: Payment of each invoice is due within ten (10) business days of invoice date, or thirty (30) days after that card's approval, whichever is earlier.
  4. Invoice Questions: The Client may question or request a review of any invoice by contacting support@unlimitxxdsolutions.com before its due date.
  5. Late Fee: Unpaid balances accrue simple interest at 10% per year after the due date per California Civil Code §3289(b).
  6. Payment Processing: Payment is processed through the Company's billing platform. Contact support@unlimitxxdsolutions.com for payment instructions.
  7. Collection: Client agrees to pay all reasonable costs of collection, including attorney's fees, if legal action is required to collect unpaid fees.

6. No Guarantee of Results

Client acknowledges and agrees that:

  1. Approval for any credit product is at the sole discretion of the issuing financial institution.
  2. The Company makes no guarantee regarding the amount of funding that will be secured, if any.
  3. Credit decisions are based on the institution's underwriting criteria, which may change without notice.
  4. Hard inquiries resulting from applications will affect Client's credit score. The exact impact varies by individual.
  5. Estimated funding ranges ($25K–$75K Tier 1, $75K–$150K Tier 2, $150K–$300K Tier 3) represent potential approved credit limits based on qualification criteria and are not guaranteed outcomes.

7. Client Authorization

Client authorizes Company to assist in applying for business credit products as outlined in the per-round application schedule, which Client will initial before each round begins. Client retains full control over application submission and confirms no application will be submitted without Client's direct review and action.

8. Non-Circumvention

For a period of six (6) months from the date of this Agreement, Client agrees to provide written notice to Company before applying independently to any institution for which Company prepared an application that Client actually submitted during the term of this Agreement. The success fee applies only to Qualifying Approvals from those prepared and submitted applications. This clause does not restrict Client from applying to any institution not included in Company's prepared application schedule, nor does it restrict Client's general ability to seek credit. This clause terminates automatically if Company terminates this Agreement without cause.

9. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement, including Company's bank sequencing methodology and Client's personal and financial information. Company will not share Client's information with any third party except as necessary to provide the services described herein.

10. Limitation of Liability

To the maximum extent permitted by law, Company's total liability to Client for any claim arising out of this Agreement shall not exceed the total amount of fees actually paid by Client to Company under this Agreement. This limitation does not apply to, and shall not be construed to limit, any claims or remedies available under the Credit Repair Organizations Act (15 U.S.C. §1679 et seq.), the California Credit Services Act (California Civil Code §1789.10 et seq.), or any other applicable federal or state consumer protection statute where such limitation is prohibited by law.

11. Indemnification

Client agrees to indemnify and hold harmless Company from claims arising from Client's submission of inaccurate information on any application or Client's independent actions after application submission. This indemnification does not extend to Company's own acts, errors, omissions, fraud, or violations of applicable law. Indemnification is mutual — Company agrees to indemnify Client from claims arising from Company's own negligence or misconduct.

12. Attorney Fees

In any legal action arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees and costs as determined by the court. This provision is mutual and applies equally to both parties per California Civil Code §1717.

13. Term and Termination

  1. This Agreement begins on the date signed and continues until all applications in the agreed plan are completed or the Agreement is terminated.
  2. Either party may terminate with 7 days written notice.
  3. Upon termination, any fees earned on Qualifying Approvals obtained prior to termination remain due and payable.
  4. The non-circumvention clause (§8) terminates automatically if Company terminates without cause.
  5. Sections 5, 6, 9, 10, 11, and 12 survive termination.

14. Cancellation Rights

Client may cancel this Agreement within five (5) working days of signing without penalty. Any fees paid during the cancellation period will be refunded within 15 days of receiving written cancellation notice. To cancel, send written notice to support@unlimitxxdsolutions.com or use the detached Notice of Cancellation form.

15. E-SIGN Consent

If this Agreement is executed electronically, Client consents to the use of electronic signatures and records under the Electronic Signatures in Global and National Commerce Act (15 U.S.C. §7001 et seq.) and California Civil Code §1633.1 et seq. Client has the right to receive a paper copy of this Agreement upon request at no charge by contacting support@unlimitxxdsolutions.com.

16. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of California. Any dispute shall first be submitted to good-faith mediation before any legal action is filed. The parties consent to jurisdiction in Stanislaus County, California.

17. Entire Agreement

This Agreement, together with the Client Authorization & Full Risk Disclosure form, constitutes the entire agreement regarding business funding facilitation services. Amendments must be in writing signed by both parties.
